Managed services provider Trustwave and endpoint detection and response company Cybereason announced a definitive merger agreement on Tuesday. The merger reflects the <\/span>market appetite for integrated cybersecurity solutions<\/a><\/span>, such as Check Point\u2019s acquisition of Cyberint earlier this year.<\/span><\/p>\n

Trustwave and Cybereason will \u201cfunction independently but collaborate strategically on value-added services and capabilities,\u201d the companies said in a statement. Cybereason has a significant presence in Japan and Europe and Trustwave is strong in the Americas and Australia.<\/span><\/p>\n

The combined company portfolio will span managed detection and response, endpoint detection and response, offensive security, security research, digital forensics and incident response, and threat intelligence services. Trustwave and Cybereason also have complementary product offerings in endpoint detection response, email security, and database security.<\/span><\/p>\n

For example, Cybereason, which has a strong presence in Japan, can offer \u201ccombined EDR and MDR solutions,\u201d Eric Gan, chairman and CEO of Cybereason said, in a statement.<\/span><\/p>\n

There will be a focus on strengthening client consulting services and MDR capabilities to develop an all-in-one solution with Cybereason\u2019s EDR for mid-market organizations, as well as help customers integrate and optimize Microsoft Security. A primary focus areas for strategic investment is a purpose-built AI that can detect known and unknown threats with greater speed and accuracy.<\/span><\/p>\n

Singtel acquired Trustwave in 2015 for $770 million and sold the company to MC\u00b2 Security Fund, a private equity fund sponsored by The Chertoff Group in January of this year for $205 million. Cybereason has raised over $850 million to date from a variety of investors.<\/span><\/p>\n

SoftBank, Cybereason\u2019s largest shareholder, will remain as the majority investor. Trustwave\u2019s current owner, and MC\u00b2 Security Fund will remain as a channel partner and strategic advisor.<\/span><\/p>\n

Financial details of this merger were not disclosed. The transaction is expected to close in early 2025, pending customary closing conditions and regulatory approvals.<\/span><\/p>\n
